The applicant sought an order of court for
convening an extra-ordinary general meeting
where the company has not held any within ten
years.
Headnote and Holding:
The court held that for any person to
apply to court to invoke its powers it must be
proved that the applicant is a director or a
member and efforts have been taken to
convene a meeting and it has failed. Further
that applying to court it must be the last resort.
Accordingly the application was dismissed.
