The court considered whether the order could
be granted in absence of another director. The
court found that the company was managed
contrary to the articles. The court held that
where it is impracticable for the registrar to
exercise his power, court has its residual power
to grant the order. The court being satisfied
that the company operated against its articles, it
granted the order until the return of the other
shareholder.
