RULING
This is an application brought under Order 22 r 74 and Order 52 rule 1 of the CPR for orders that:
1)
A vesting Order vesting property comprised in LRV 795 Folio 2 also known as Namwandwa Ginnery Kamuli District to the applicant as purchaser thereof.
2) The Commissioner for Land Registration be directed to issue a special certificate of title in respect of the said land/property and to transfer the same into the applicant’s names.
3) Costs of the application be provided for.
The grounds of the application are contained in the affidavit of Magan Patel the Managing Director of the applicant company but briefly are:
i)
That the applicants were successful bidders for the purchase of the said property/ginnery during a public auction, in execution of a decree in H.C.C. suit No 116 of 2004, wherein the respondents who are registered owners of the property were judgement debtors.
ii)
That the respondent/judgement debtor’s application No 348 of 2005 contesting the said sale was disposed of by consent of both parties, and the applicant was requested to top up the purchase price, to which he complied.
iii)
That as part of the said settlement, the respondent/judgement debtor was obliged to surrender the title certificate to the applicant.
iv)
That however, the respondent has willfully withheld the duplicate certificate and/or has disobeyed court orders to produce the said title in court.
v)
That it would be in the interest of justice that this application is granted.
vi)
That owing to the nature of this application service to the respondent be dispensed with.
Mr Magan gives the following background to the application in his supporting affidavit. The company purchased the said property at shs 30 million (thirty million) at a public auction in execution of a decree against the respondent in HCCS No. 166 of 2000. A copy of the sale agreement dated 20th December 2004 between the applicant and M/S Nkono Partners Court Bailiffs & General Auctioneers is attached and marked ‘A’. The respondent made an application contesting the sale but the parties finally entered into a settlement before the trial judge wherein the respondent was made to top up on the purchase price by payment of a further sum of shs 12.5 million and the said application was disposed of. A copy of the settlement in MA 348/05 is attached as ‘B’ and a bank of Baroda cheque No 478071 dated 28/6/2005 is attached as ‘C’. The respondents however failed to produce a duplicate certificate of title and transfer forms as agreed in the settlement, prompting the applicant company to file misc. Application No. 15 of 2006 under section 33 of the Judicature Act, and 98 of the C.P A, seeking an order of the court to compel the respondent to produce the said documents and deposit the same into court free of encumbrances. That matter was heard exparte by the Registrar, who issued an order date 8th February 2006, directing the respondent to produce before the court within (7) days:

1)
A vesting order is hereby issued; vesting the property comprised in LRV 795 Folio 2, known as Namwendwa Ginnery, Kamuli District in Pramukh Agro Industries Ltd.
2) The Commissioner for Land Registration is hereby directed to issue a Special Certificate of title in respect of the said property and to transfer the same into the names of Pramukh Agro Industries Ltd, forthwith.
3) Costs of the application are provided for.
